These Terms of Use ("Terms") govern your access to and use of the Team Orbita website,
mobile applications, and related services (collectively, the "Service") operated by Team Orbita
("Team Orbita," "we," "us," or "our"). By creating an
account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the
Service.
1. Who may use the Service
You must be at least 13 years old to create an account. If you are between 13 and the age of majority in
your state, you may use the Service only with the consent and supervision of a parent or legal guardian who
accepts these Terms on your behalf.
The Service is designed for team and group coordination — including sports teams, schools, volunteer groups,
families, and similar organizations. If you add information about minors (for example, roster or tryout
details), you represent that you have the authority to do so and that you will comply with applicable laws
regarding information about children.
You may use the Service only if you can form a binding contract with us and are not barred from doing so
under applicable law.
2. Accounts and security
You must provide accurate, current information when you register and keep your account information up to
date. You are responsible for maintaining the confidentiality of your password and for all activity under
your account. Notify us promptly at hello@teamorbita.com
if you believe your account has been compromised.
We may require email confirmation before full access to certain features. We may suspend or terminate
accounts that violate these Terms or that we reasonably believe pose a security or legal risk.
3. Organizations, teams, and roles
The Service lets users create or join organizations ("workspaces") and teams. Workspace owners,
coaches, managers, and other designated roles may invite members, manage schedules, send announcements,
assign tasks, and configure team settings according to permissions we provide in the product.
If you accept an invitation or join a team, you understand that team administrators and other members with
appropriate permissions may see information you share within that team, including messages, RSVP responses,
task assignments, and profile details visible in the workspace.
Workspace owners and team administrators are responsible for how they use the Service, including obtaining
any consents required before inviting members or collecting information from participants.
4. Description of the Service
Team Orbita provides tools that may include, now or in the future:

Scheduling for games, practices, events, and related calendar features

Team messaging, direct messages, and announcements

Tasks, volunteer signups, and team coordination workflows

RSVPs, attendance tracking, and team insights

Live game scoring and play-by-play features for supported sports

Tryout management, including check-in and evaluation tools

AI-assisted coaching and workspace tools that help draft communications or answer team questions

Push notifications, email notifications, and calendar export

Event location, maps, and weather information where available

Payment or dues collection through third-party payment processors, when offered
We may add, change, or remove features at any time. Some features may be labeled beta, preview, or early
access and may be less reliable or subject to additional limits.
5. Your content and conduct
5.1 User content
You and other users may submit content through the Service, including messages, announcements, event details,
photos, scores, tryout notes, and other materials ("User Content"). You retain ownership of User
Content you submit, subject to the license below.
You grant Team Orbita a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display,
and use User Content solely to operate, provide, improve, and secure the Service as permitted by these Terms
and our Privacy Policy.
5.2 Acceptable use
You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation

Harass, threaten, defame, or abuse others, or post content that is hateful, discriminatory, or obscene

Impersonate any person or entity or misrepresent your affiliation

Upload malware, attempt unauthorized access, probe or scan systems, or interfere with the Service

Scrape, crawl, or harvest data from the Service except through interfaces we expressly permit

Use the Service to send unsolicited commercial messages or spam

Collect or share personal information about others without appropriate permission

Circumvent access controls, rate limits, or security measures
We may remove or restrict User Content and suspend accounts that violate these rules or that we reasonably
believe create risk for users or the Service.
6. Communications and notifications
By using the Service, you consent to receive service-related communications, such as account verification,
invitations, schedule updates, and team messages sent through the product. You may also receive push
notifications or emails if you enable them on your device or in your account settings.
Team administrators and members may send messages to you through the Service. You can adjust certain
notification preferences where the product provides controls, but you may not opt out of all operational
messages required to maintain your account or fulfill team coordination you have joined.
7. AI features
Parts of the Service use artificial intelligence to help users draft messages, summarize team information,
answer questions, or generate other suggested content. AI output may be inaccurate, incomplete, or
inappropriate. AI features are assistive tools only — they do not replace your judgment, and they are not
professional, medical, legal, or coaching advice.
You are responsible for reviewing AI-generated content before you send, publish, or rely on it. Do not
share sensitive personal information with AI features unless you understand how that information will be
processed. We may use third-party AI providers to deliver these features, subject to our Privacy Policy.
8. Third-party services
The Service may integrate with or link to third-party services, such as payment processors, mapping and
weather providers, calendar apps, analytics tools, email delivery services, and mobile platform services.
Your use of those services may be governed by separate terms and privacy policies. Team Orbita is not
responsible for third-party services we do not control.
If you choose to export events to an external calendar, open a map or weather link, or complete a payment
through a third party, you do so at your own discretion and subject to that provider's terms.
9. Fees and payments
We may offer free and paid plans. If paid features are available, pricing and billing terms will be presented
before you purchase. Except where required by law or expressly stated at purchase, fees are non-refundable.
Payment processing may be handled by third-party processors. You authorize us and our payment partners to
charge your selected payment method for applicable fees. You are responsible for any taxes associated with
your purchase, other than taxes based on our net income.
10. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by Team Orbita or its
licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in
these Terms, we reserve all rights in the Service.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the
Service except as allowed by law or with our prior written consent.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you
acknowledge that we will process information as described there, including for analytics, security, and
product improvement. Where required, we provide choices such as analytics cookie consent on our website.
12. Termination
You may stop using the Service at any time. You may request account deletion by contacting us. We may suspend
or terminate your access if you materially breach these Terms, if required by law, or if we discontinue
the Service or your account for operational reasons.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should
survive termination will survive, including ownership provisions, disclaimers, limitations of liability,
indemnification, and dispute terms.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY
LAW, TEAM ORBITA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be
corrected, or that schedules, scores, weather data, maps, AI output, or other information will be accurate or
complete. You use the Service at your own risk.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM ORBITA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND
SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE
DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO
YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE
SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE
(12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case,
our liability is limited to the fullest extent permitted by applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Team Orbita and its officers, directors, employees, and
agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable
attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation
of these Terms, or your violation of any rights of another person or entity.
16. Dispute resolution and governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law
rules. Except where prohibited, you and Team Orbita agree that any dispute arising out of or relating to these
Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you
consent to personal jurisdiction in those courts.
If you are a consumer residing in a jurisdiction that grants you mandatory local rights, nothing in this
section limits rights that cannot be waived under applicable law.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the
Service, by email, or by other reasonable means. The updated Terms will be effective when posted unless stated
otherwise. Your continued use of the Service after the effective date constitutes acceptance of the revised
Terms.
18. General

Entire agreement. These Terms, together with the Privacy Policy and any plan-specific
terms presented at purchase, are the entire agreement between you and Team Orbita regarding the Service. -
Assignment. You may not assign these Terms without our consent. We may assign these Terms
in connection with a merger, acquisition, or sale of assets. -
Severability. If any provision is held invalid, the remaining provisions remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
